Terms of Service for SofClinic

Welcome to SofClinic ("we," "our," "us," or the "Platform"). These Terms of Service ("Terms") govern your access to and use of our multi-tenant clinic management Software-as-a-Service (SaaS), including our Platform Admin Console, Clinic Operations System, and the Patient Booking Portal.

By accessing or using SofClinic, whether as a Clinic Owner, Staff Member, or Patient, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Account Types & Responsibilities

SofClinic serves different types of users, each subject to specific responsibilities:

Clinic Owners (Tenants): When you register a clinic, you are granted "OWNER" access. You are responsible for all activity that occurs under your tenant account, including the actions of your assigned Doctors and Receptionists. You are responsible for maintaining the confidentiality of your credentials and ensuring your staff complies with these Terms.

Clinic Staff (Doctors & Receptionists): Your access is limited by Role-Based Access Control (RBAC) configured by the Clinic Owner. You agree to use the system solely for the operational and clinical duties authorized by your employer.

Patients (Public Users): Patients using the public booking portal agree to provide accurate contact information for appointment scheduling and OTP (One-Time Password) verification via WhatsApp.

2. Medical & Healthcare Disclaimer

SofClinic is a technology provider, not a healthcare provider. We provide software to facilitate clinic management, appointment booking, and patient communication.

We do not provide medical advice, diagnoses, or treatment.

SofClinic is not liable for any medical decisions, clinical outcomes, misdiagnoses, or treatment errors made by Doctors using our clinical operations module (including visit records, diagnoses, and prescription uploads).

Patients using the booking portal must contact their clinic directly for any medical emergencies.

3. WhatsApp Communications & Acceptable Use

SofClinic utilizes WhatsApp integration for critical service notifications, including booking OTPs, appointment statuses, and automated Google Review reminders.

Consent: By booking an appointment, Patients consent to receiving these automated WhatsApp messages.

Clinic Obligations: Clinic Owners agree not to misuse the WhatsApp messaging infrastructure. The automated review reminder feature (triggered two hours after a completed visit) must not be manipulated or used to send unauthorized spam or marketing materials.

Third-Party Dependency: WhatsApp delivery relies on third-party APIs (WAHA). We do not guarantee 100% uptime for message delivery and are not liable for missed appointments due to delayed or undelivered messages.

4. Subscriptions, Payments & Refunds

Billing: SofClinic charges clinics based on agreed-upon pricing tiers, which may include initiation fees, monthly, or yearly amounts.

Payment Processing: Currently, tenant payments are recorded manually by our platform administrators. Clinic Owners agree to pay invoices via the agreed-upon offline or direct payment methods in a timely manner.

Suspension for Non-Payment: We reserve the right to suspend or deactivate a tenant's account if payment is not received by the due date.

Patient Refunds: SofClinic does not process patient payments directly. Any refunds for canceled appointments (e.g., cash, Visa, or insurance copays) must be handled directly between the Patient and the Clinic.

5. Data Ownership & Processing

Clinic Data: The Clinic retains full ownership of all business and patient data entered into their isolated tenant database.

Our Right to Process: The Clinic grants SofClinic a license to host, process, and transmit this data strictly for the purpose of providing the service.

6. Service Availability & Maintenance

We strive to ensure SofClinic is available 24/7. However, we may occasionally need to perform maintenance or updates. We do not guarantee uninterrupted or error-free operation. We will make reasonable efforts to notify Clinic Owners of any scheduled downtime that may impact the reception queue or public booking portal.

7. Limitation of Liability

To the maximum extent permitted by law, SofClinic, its founders, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill, arising out of:

Your use or inability to use the software.

Unauthorized access to or alteration of your secure tenant database.

Errors, omissions, or delays in the public booking system or real-time slot updates.

Any disputes between a Patient and a Clinic.

8. Termination

By You: Clinic Owners may terminate their subscription at any time by contacting our support team.

By Us: We reserve the right to suspend or terminate your account immediately, with or without notice, if you breach these Terms, engage in illegal activities, or fail to pay subscription fees. Upon termination, your isolated tenant database will be securely deleted, subject to our data retention policies.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising out of these Terms will be subject to the exclusive jurisdiction of the courts located in Egypt.
